1. Intro

Welcome to Timeboxr ("we," "our," or "us"). By accessing or using our voice-controlled Google Calendar management service (the "Service"), you agree to be bound by these Terms of Service ("Terms"). Please read these Terms carefully before using the Service.

2. Eligibility

You must be at least 18 years old to use our Service. By using our Service, you represent and warrant that you meet this eligibility requirement. If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

3. Account Registration

To use certain features of our Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4. Subscription and Payment Terms

4.1 Subscription Plans

Our Service is offered on a subscription basis. The features and functionality available to you depend on the subscription plan you choose.

4.2 Payment

Payment for subscriptions is processed through Stripe, our third-party payment processor. By providing your payment information, you authorize us to charge your payment method for the subscription plan you have selected.

4.3 Subscription Term and Renewal

Subscriptions automatically renew at the end of each subscription period unless you cancel your subscription before the renewal date.

4.4 Cancellation

You may cancel your subscription at any time through your account settings or by contacting us at info@timeboxr.ai. Upon cancellation, you will continue to have access to the Service until the end of your current billing period, at which point your access will be terminated.

4.5 Price Changes

We reserve the right to change our subscription prices. Any price changes will take effect at the start of the next subscription period.

5. Google Calendar Integration

Our Service integrates with Google Calendar. By using our Service, you authorize us to access and modify your Google Calendar data in accordance with the permissions you grant. You acknowledge that your use of Google Calendar is subject to Google's terms of service and privacy policy.

6. Voice Control Features

Our Service includes voice control features that allow you to manage your calendar using voice commands. You acknowledge that:

  • Voice data may be processed to provide the Service
  • Voice recognition technology is not perfect and may misinterpret your commands
  • You are responsible for reviewing any changes made to your calendar through our Service

7. User Conduct

You agree not to:

  • Use the Service in any way that violates any applicable law or regulation
  • Use the Service to infringe upon the rights of others
  • Attempt to gain unauthorized access to any portion of the Service or any other systems or networks connected to the Service
  • Use the Service to transmit any viruses, malware, or other malicious code
  • Interfere with or disrupt the integrity or performance of the Service
  • Attempt to reverse engineer, decompile, or disassemble any portion of the Service

The Service, including all content, features, and functionality, is owned by Timeboxr and is protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

These Terms do not grant you any right, title, or interest in the Service or our content, other than the right to use the Service as set forth herein.

Our Service may contain links to third-party websites or services that are not owned or controlled by us. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

11. Limitation of Liability

IN NO EVENT SHALL TIMEBOXR, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, THAT RESULT FROM THE USE OF, OR INABILITY TO USE, THE SERVICE.

OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW, AND UNDER NO CIRCUMSTANCES WILL OUR AGGREGATE LIABILITY EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

12. Indemnification

You agree to defend, indemnify, and hold harmless Timeboxr, its officers, directors, employees, and agents, from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable attorney's fees and costs, arising out of or in any way connected with your access to or use of the Service or your violation of these Terms.

13. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service or contact us at info@timeboxr.ai.

14. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law provisions.

16. Dispute Resolution

Any dispute arising from or relating to the subject matter of these Terms shall be finally settled by arbitration in London, United Kingdom, using the English language in accordance with the Arbitration Rules and Procedures of the United Kingdom.

17. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

18. Entire Agreement

These Terms constitute the entire agreement between you and Timeboxr regarding our Service and supersede all prior agreements and understandings, whether written or oral.
